Terms of Use

1. Who we are

Donezo is an operation space of browser-native tools built and operated by Sequence Theory, a sole proprietorship registered in Amsterdam, Netherlands. When these Terms say "we," "us," or "Donezo," they mean Sequence Theory.

2. Who these Terms apply to

These Terms apply to everyone who uses any Donezo product, paid or free, with or without an account.

By opening or using any Donezo app, including free apps that require no login, you accept these Terms. If you do not accept them, do not use the product.

For paid purchases, you will be asked to confirm acceptance explicitly at checkout. For free apps, acceptance occurs when you first use the app. A notice to this effect is displayed at first launch.

3. What you are buying

When you purchase a Donezo plan, you are purchasing a personal, non-transferable, perpetual licence to access and use the Donezo software. You are not purchasing the software itself. All code, design, and intellectual property remains owned by Sequence Theory.

Your licence is:

• Personal. For your own use only
• Non-transferable. You may not sell, gift, or assign it
• Perpetual. Valid for as long as Sequence Theory operates the product (see Section 8)
• Two-device. Each purchase generates two licence keys, one per device

4. Plans and pricing

All prices are in euros and exclude VAT. VAT is applied at checkout based on your country of residence.

Regular prices may change. The Local, Cloud, Connected, and Space prices listed above are current regular prices. They may increase as Donezo adds new apps and features. Founding Friends (€29) and Early Access (€49) prices are locked permanently for those buyers regardless of any future price changes (see Section 5).

Space is separate: Space is a team product. It is not included in any early access offer. It is always €600.

5. The founding promise

Founding Friends (€29) and Early Access (€49) buyers have their price locked permanently. This is a contractual commitment, not a promotion. Early Access is capped at 1,000 seats.

What the founding promise covers

• Your price never increases
• Bug fixes and UX improvements to your plan's apps are always free
• New free apps (Can, Hub, Docs, Calendar and future free releases) are always free
• Tier capability improvements to what your plan tier unlocks are always free

What the founding promise does not cover

Future premium features or entirely new premium product tiers introduced after your purchase date. If these are offered, they will be optional add-ons. Nothing you already have will be removed or paywalled. Free apps always receive all updates at no cost.

6. Free apps

Can, Hub, Docs, and Calendar are free forever on the Local tier. They require no account, no login, and no payment. These Terms still apply to anyone who uses them (see Section 2).

Free apps receive all updates, including new features, at no cost to anyone, regardless of plan.

7. Donezo Space

Donezo Space is a shared team workspace. It functions as a separate context within Donezo. The same apps your team already uses, operating in a shared folder hosted by the Space admin.

How Space works

• You activate one Space per purchase (€600 one-time, excl. VAT)
• The €600 activation covers the admin's lifetime seat
• Two member seats are included free for the first year. The admin can invite two team members at no extra cost in year 1
• From year 2 onwards, the two included member seats are charged at €65 per seat per year
• Additional seats (beyond the two included): €65 per seat per year from activation
• No company email required. You can activate and manage a Space with the same personal email you use for your individual Donezo account
• Every member of a Space must hold a Donezo Connected plan
• Members manage their personal context and their Space context separately inside every app

Annual seat renewals

Annual seat fees renew on the anniversary of each seat's first paid year. You will receive a reminder at least 14 days before renewal. You may remove seats at any time from the Space admin panel, cancelling future charges for that seat. No refund is issued for the current annual period already paid.

Space data

Your organisation's data stays in your own cloud, not Donezo's servers. Space does not change the privacy architecture. All vault data remains local and cloud-synced to your own storage. See the Privacy Policy for full details on how Donezo's data architecture works.

8. Lifetime access

"Lifetime access" means access for as long as Sequence Theory operates and maintains the product you purchased. Sequence Theory commits to:

• Keeping paid products available for as long as commercially viable
• Providing a minimum of 90 days' notice before discontinuing any paid product
• Never removing your access without prior notice and a transition period

"Lifetime" refers to the product's operational lifetime. It does not guarantee any fixed period beyond the commitments above. It does not mean your biological lifetime.

9. No right of withdrawal

Under EU Consumer Rights Directive (2011/83/EU), consumers have a 14-day right to withdraw from distance contracts. For digital content not on a physical medium, this right may be waived when you explicitly consent to immediate delivery and acknowledge the right is lost once delivery begins.

At checkout you will be required to confirm:

By clicking Purchase, I consent to immediate access to the digital content and acknowledge that I waive my 14-day right of withdrawal under EU Consumer Rights Directive (2011/83/EU), Article 16(m).

This waiver is legally valid once confirmed.

10. No refunds

Donezo does not offer refunds because:

• All apps are available to try free before purchase, without an account
• The full product experience is demonstrated before any payment is requested
• Digital content is delivered immediately upon purchase and cannot be returned
• You have explicitly waived the right of withdrawal at checkout

11. Payments

Payments are processed by Stripe, Inc. Donezo never stores your card details. Transaction records are retained for 7 years under Dutch fiscal law (AWR Art. 52).

12. Progressive Web App (PWA) installation

Donezo apps can be installed as Progressive Web Apps on desktop and mobile. When you install a Donezo app:

• The app shell and assets are cached locally on your device by your browser
• Your vault data is stored locally as part of the browser's storage (see Section 15)
• The app works fully offline after first installation
• Uninstalling the PWA removes the app shell from your device but does not automatically delete your vault. Vault data persists in browser storage until you explicitly clear it or use the vault export and clear function

Installation is optional. All Donezo apps work in a standard browser tab without installation.

13. What you may do

Your licence permits you to:

• Use all apps in your plan for personal and professional purposes
• Store, create, edit, and export your own content
• Connect your own cloud account (Google Drive, Dropbox, iCloud) and AI provider
• Use Donezo to serve your own clients as part of your work
• Free apps (Can, Hub, Docs, Calendar): use on unlimited devices, no licence required
• Paid apps: access on up to two devices per purchase. Each purchase includes two licence keys (Key A + Key B), one per device

14. What you may not do

Your licence does not permit:

• Sharing, selling, or transferring your licence keys
• Redistributing, reselling, or white-labelling Donezo or any part of it
• Reverse-engineering or decompiling the software
• Using Donezo to build a competing product
• Circumventing any access control or licence verification mechanism
• Attempting to access another user's data or any system beyond your authorisation
• Using Donezo for any unlawful purpose

15. Your vault and your data

Your vault is yours. Sequence Theory does not read, access, process, or store any vault content under any circumstances.

All vault data is stored in your browser's localStorage and IndexedDB on your own device. If you connect a cloud account, your vault syncs directly from your browser to your own cloud storage. Sequence Theory does not act as an intermediary.

You are solely responsible for

• Exporting and backing up your vault regularly
• Ensuring vault data is not lost due to browser clearing, device loss, or storage failure
• The security of your cloud account if you enable cloud sync

Sequence Theory cannot recover vault data. We do not hold copies. This is by design.

Local device folder access

Hub may request permission to access a folder on your local device through the browser's File System API. This access is entirely local. It does not connect to any Donezo server. It is used only to read and organise your local files within the app. You grant and revoke this permission through your browser at any time.

16. AI features

Donezo's AI features work on a bring-your-own-AI basis. You provide your own API key to your chosen AI provider. That key is stored encrypted in your local vault using AES-256. Sequence Theory never receives it.

When you run an AI task, content travels directly from your browser to your chosen AI provider. Sequence Theory does not receive, proxy, or store the content of that exchange. You are responsible for complying with your AI provider's terms.

All AI-generated outputs are labelled as AI-generated in the interface. AI outputs are suggestions. Nothing is applied to your data without your explicit approval.

17. Intellectual property

All code, design, brand identity, product names, and methodology are the intellectual property of Sequence Theory. "Donezo" and "Sequence Theory" are trade names. Unauthorised use is prohibited.

Your content remains entirely yours. Sequence Theory claims no rights over anything you create, store, or export using Donezo.

18. Limitation of liability

To the maximum extent permitted by Dutch law:

• Sequence Theory is not liable for loss of vault data. We do not hold it
• Sequence Theory is not liable for indirect, consequential, or incidental losses
• Total liability is capped at the amount you paid for your licence. For free app users, total liability is capped at €0.
• Sequence Theory is not liable for the performance, availability, or data practices of third-party services you connect

Nothing in these Terms excludes liability for death, personal injury, fraud, or any liability that cannot be excluded under Dutch law.

19. Termination

We may terminate or suspend your licence if you breach these Terms, in particular Section 14. We will provide notice before terminating unless the breach involves key sharing, redistribution, or circumvention of access controls, in which case termination may be immediate.

20. Changes to these Terms

Material changes will be communicated by email (for account holders) with the effective date updated at donezo.space/terms. Continued use constitutes acceptance.

21. Governing law and disputes

These Terms are governed by Dutch law. Disputes are subject to the jurisdiction of the courts of Amsterdam.

EU consumers retain the right to bring proceedings in their country of residence and to benefit from mandatory local consumer protections. The EU Online Dispute Resolution platform is available at https://ec.europa.eu/consumers/odr.
